Accountability

Transparency and documents

Governing documents, filings, and safeguards are published so the public can inspect how The Marianas Foundation is structured and how community-benefit funds will be stewarded.

Public filings

Official copies hosted on Google Drive. Personal addresses are redacted in public versions.

Articles of Incorporation (Public Copy)

The foundational document establishing The Marianas Foundation as a CNMI nonprofit corporation.

Public copy is redacted to remove personal addresses.

Bylaws

The rules governing the Foundation's internal operations, board structure, and decision-making processes.

Board Resolution (Marianas Initiative)

Formal board resolution authorizing the Marianas Initiative community-benefit program.

Certificate of Incorporation (Official Filing)

Official certificate issued by the CNMI Registrar of Corporations confirming the Foundation's legal formation.

Petition and Charter (Filed; Notarized)

The original petition and charter documents filed to establish the Foundation, with notarized signatures.

Proposed Structure and Board Framework

Background document outlining the Foundation's organizational structure and governance framework.

Operating safeguards

Conflict of Interest

Board members and officers must disclose any personal, financial, or organizational interests that could influence Foundation decisions. Conflicted parties recuse themselves from relevant votes and deliberations.

Project Selection and Island Equity

Grant and program decisions are made based on documented criteria, with consideration for equitable distribution of resources across Saipan, Tinian, and Rota.

Financial Controls

Disbursements require documented review. Large disbursements require board approval. The Treasurer oversees budgeting, reporting, and internal controls.

Independence

The Marianas Foundation is an independent 501(c)(3) nonprofit. We work to benefit CNMI communities but operate separately from any government entity.

Form 990 filings, the IRS determination letter, and annual community-benefit summaries will be posted here as they are issued. Until then, governing documents and the Marianas Initiative board resolution are the public record of our formation.
